These Terms of Service ("Terms") govern your access to and use of the Ravensearch platform at ravensearch.ai (the "Platform"), operated by KOBAYAT INC, doing business as Ravensearch ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
These Terms apply to all users, including operators (facility managers, property managers, IFM companies), technicians (contractors, service providers), virtual assistants, and visitors.
1. Acceptance of Terms
By creating an account, signing up as a technician, responding to a dispatch, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
You represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Description of Service
Ravensearch is a B2B dispatch platform that connects facility operators with licensed trade technicians. The Platform provides:
- AI-powered work order parsing and job creation
- Automated technician matching based on trade, location, availability, and compliance
- Dispatch notifications via email and SMS
- AI-assisted reply classification and response management
- Compliance tracking and credential verification
- Integration with third-party CMMS platforms
Ravensearch acts as a matching and communication platform. We do not employ technicians, guarantee work quality, or serve as a party to any contract between operators and technicians. All service agreements are between the operator and the technician directly.
3. User Accounts
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activity that occurs under your account
- You must provide accurate, current, and complete information during registration
- You must notify us immediately of any unauthorized use of your account
- We reserve the right to suspend or terminate accounts that violate these Terms
- One person or entity may maintain multiple organization memberships but not multiple user accounts
4. User Types & Responsibilities
4.1 Operators
- Operators create work orders and dispatch them to technicians through the Platform
- Operators are responsible for the accuracy of work order details including location, trade requirements, and job descriptions
- Operators must not use the Platform to send spam, misleading job postings, or fraudulent requests
- Operators are responsible for vetting and selecting technicians for their jobs
4.2 Technicians
- Technicians receive dispatch notifications for jobs matching their trade and location
- Technicians are responsible for maintaining accurate profile information, including trade type, service area, and availability
- Technicians must hold valid licenses and certifications as required by their jurisdiction
- Responding to a dispatch does not guarantee assignment to a job
4.3 All Users
- All users must comply with applicable laws and regulations
- All users must treat other users with respect and professionalism
- All users are responsible for any content they submit to the Platform
5. SMS & Email Communications
Consent to Receive SMS Messages
By providing your phone number and using the Platform, you consent to receive SMS text messages from Ravensearch related to job dispatch notifications, work order alerts, and account-related updates. You may receive messages when a work order in your area matches your trade and availability. You may also opt in to SMS notifications by texting JOIN to +1 (717) 447-5888.
5.1 SMS Terms
- SMS messages are sent to notify technicians of job opportunities matching their trade and location, and to send account-related updates
- Dispatch messages may invite a reply (YES to indicate interest, NO to decline) to manage the job response
- Opt-in methods: (1) providing your phone number and checking the SMS consent box during signup, or (2) texting JOIN to +1 (717) 447-5888
- Message frequency varies depending on available work orders in your service area
- Message and data rates may apply depending on your mobile carrier and plan
- Consent to receive SMS is not a condition of purchasing any goods or services
- SMS messages are sent via Twilio, a third-party messaging service provider
- You may opt out of SMS messages at any time by replying STOP to any message
- For help, reply HELP to any message or contact support@ravensearch.ai
- Compatible carriers include but are not limited to: AT&T, T-Mobile, Verizon, Sprint, and most major US carriers
- No mobile information will be shared with third parties or affiliates for marketing or promotional purposes
5.2 Email Communications
- We send transactional emails including job dispatch notifications, welcome emails, and account-related communications
- All dispatch emails include an unsubscribe link in compliance with CAN-SPAM
- You may unsubscribe from dispatch emails at any time
- Transactional emails related to your account (password resets, security alerts) cannot be unsubscribed from
5.3 Opt-Out
- SMS: Reply STOP to any text message. You will receive a confirmation message and no further texts.
- Email: Click the unsubscribe link in any dispatch email, or visit ravensearch.ai/unsubscribe
- Opting out of communications does not delete your account or data. To request data deletion, contact privacy@ravensearch.ai
6. Acceptable Use
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable laws
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Submit false, misleading, or fraudulent work orders or profile information
- Scrape, crawl, or use automated means to extract data from the Platform without our prior written consent
- Attempt to gain unauthorized access to the Platform, other user accounts, or our systems
- Interfere with or disrupt the Platform or servers connected to the Platform
- Use the Platform to send unsolicited communications or spam
- Reverse engineer, decompile, or disassemble any part of the Platform
- Use the Platform to harass, abuse, or harm other users
- Circumvent any rate limiting, security measures, or access controls
We reserve the right to suspend or terminate access for users who violate these restrictions, at our sole discretion and without prior notice.
7. Intellectual Property
- The Platform, including its design, features, code, content, and branding, is owned by Ravensearch and protected by intellectual property laws
- The name "Ravensearch" and our logo are trademarks of Ravensearch. You may not use them without our written permission
- You retain ownership of content you submit to the Platform (work orders, profile information, messages)
- By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and process that content as necessary to provide the Platform services
8. Payment & Fees
- Certain features of the Platform may require payment of fees
- All fees are stated in US dollars and are non-refundable unless otherwise specified
- We reserve the right to change our fees at any time with 30 days notice to affected users
- Failure to pay applicable fees may result in suspension or termination of access to paid features
- You are responsible for any taxes applicable to your use of the Platform
9. Disclaimers & Limitation of Liability
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
- We do not guarantee the accuracy, reliability, or availability of the Platform at all times
- We do not guarantee the quality of work performed by any technician found through the Platform
- We do not guarantee that any technician will respond to or accept a dispatch
- We are not responsible for any disputes between operators and technicians
- We do not verify the accuracy of license or credential information beyond what is available in public records
- To the maximum extent permitted by law, Ravensearch shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
- Our total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) $100
10. Indemnification
You agree to indemnify, defend, and hold harmless Ravensearch, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, your violation of any applicable law, or your violation of any rights of a third party.
11. Termination
- You may terminate your account at any time by contacting support@ravensearch.ai
- We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice
- Upon termination, your right to use the Platform ceases immediately
- Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) shall survive
- We may retain your data as required by law or as described in our Privacy Policy
12. Governing Law & Disputes
- These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions
- Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Delaware
- You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts
- Any claim must be brought within one (1) year after the cause of action arises, or it is permanently barred
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last Updated" date. For significant changes, we may also notify you via email. Your continued use of the Platform after any changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.
